Corporate Paralegal
Full time , $85K-$110K annual salary
Corporate Paralegal needed for the Legal Department of a large Anchorage corporation.
Familiarity with the legal court system /general legal rules and procedures, knowledge of general legal and business formats/ procedures, accuracy, attention to detail and excellent interpersonal skills are required to be successful in this role.
Must be proficient using Microsoft Office products, such as Word, Excel, PowerPoint and industry-standard computer software and databases.
Job Duties and Responsibilities:
- Provide support for business transactional activities, compose/edit correspondence, generates and files reports, conducts legal research and writing. Interacts with and assists primarily Legal Department staff, but also directly with executives and Board Members.
- Maintains appropriate corporate books and records, including minutes, official records, and formation documents.
- Coordinate and monitor subsidiaries’ maintenance of their corporate books and records. Organize and forms new corporate entities.
- Organize and maintain legal databases. Ensures legal matters are appropriately organized and tracked, timelines are met in accordance with applicable statutes, contractual obligations, litigation deadlines and internal corporate processes.
- In compliance with corporate governance, obtain, maintain and ensure timely filing of corporation’s required licenses, authorizations, reports and other filings with all appropriate regulatory authorities. Serve as Company lead to assist and train corporations’ subsidiary personnel in such filings as necessary and appropriate.
- Manage departmental functions regarding budgeting, travel, expense reports, cost monitoring, and engagement of outside counsel.
- Code legal invoices per Company protocol, and ensure legal invoices are reviewed by appropriate Company staff
- Oversee the annual/biennial reporting, as well as applications, permits, licenses, annual proxy filings and the like for corporation and applicable holding companies to ensure timely filing and compliance with appropriate federal and state agencies.
- Performs other duties as appropriate and as assigned.
Minimum Qualifications
- A Paralegal Certificate from an ABA approved paralegal education program.
- Two or more years' experience as a Paralegal in a business law environment.
- Work experience that illustrates a high degree of technical and online research skills required.
- Proficient using Microsoft Office products, such as Word, Excel, PowerPoint and industry-standard computer software and databases.
- Ability to obtain notary certification.
